1. Who these terms apply to

These Terms of Business apply when a customer purchases products or services from Jupiter Solutions for purposes relating wholly or mainly to its trade, business, craft or profession.

Seller

The legal seller is JUPITER SOLUTIONS LTD, company number 15230488, registered in England and Wales, with registered office at Avc House, 21 Northampton Lane, Swansea, Wales, SA1 4EH.

“Jupiter”, “we”, “us” and “our” mean that legal seller. “Customer”, “you” and “your” mean the business purchasing from us.

These terms do not apply to consumer purchases. Jupiter’s current launch offer is B2B only.

2. How a contract is formed

A contract is formed when we accept your order and payment, unless we expressly agree another arrangement in writing.

Your order confirmation, receipt or invoice identifies the products, quantity, tier, price and any agreed delivery or fulfilment arrangements. If there is a conflict between an expressly agreed written order term and these Terms, the expressly agreed order term takes priority for that order.

You confirm that the person placing the order has authority to purchase on behalf of the business.

3. Google Review NFC Cards

Our Google Review Cards are NFC products configured to make it easier for customers to reach the selected business’s Google review destination. A card tap opens a business-specific Jupiter landing page with a prominent Google review button leading to the confirmed Google review destination. Across Core, Growth and Pro, the page may later include subtle, clearly labelled advertising and promotions for Jupiter Solutions products at the bottom. Advertising and Jupiter product promotions together must occupy no more than 20% of the landing-page area, remain secondary to the review action, and never cover, delay or obstruct the Google review button. Both third-party advertising and Jupiter product promotions can be turned off for the business/location. Advertising and promotions are future capabilities; their introduction does not change the purchased primary Google review action.

Unless otherwise agreed, Jupiter will:

• confirm the Google Business Profile/listing selected by the Customer;

• create and maintain a Jupiter-controlled redirect for the card;

• programme the redirect onto the NFC card;

• test the programmed card before handover or dispatch; and

• associate the card with the relevant Jupiter order/account for support purposes.

The Customer is responsible for confirming that the Google Business Profile shown during setup is the correct listing for its business.

Jupiter does not control Google, Google Business Profile, a customer’s device, internet connectivity, browser behaviour or third-party platform availability. We do not guarantee that Google will keep any particular review interface, URL structure, feature or policy unchanged.

4. Honest reviews only

The cards are intended to make it easier for customers to leave an honest Google review.

The Customer must not use Jupiter products to:

• offer rewards or incentives in exchange for Google reviews;

• request only positive reviews;

• discourage or suppress negative reviews;

• pressure customers into posting a review; or

• use private feedback as a gate that determines who is offered the opportunity to review publicly.

Jupiter may refuse to configure or support a use that we reasonably believe is intended to manipulate reviews or breach an applicable platform policy or law.

5. Products, tiers and quantities

The product tier and quantity purchased are those shown on the order confirmation, receipt or invoice.

Jupiter may offer Core, Growth and Pro tiers. The exact features included in a tier are those stated at the time of purchase. We will not remove a paid feature already expressly included in an order without providing a reasonable equivalent or agreeing another solution with the Customer.

Unless otherwise stated, physical Google Review Cards are sold as a one-time purchase. Any future recurring service will require separate recurring-service terms or an expressly agreed order.

6. Prices and VAT

The price payable is the price confirmed before payment.

JUPITER SOLUTIONS LTD is not currently VAT registered. VAT is therefore not currently charged on these prices.

We will not add VAT unless the legal seller is entitled and required to charge it.

7. Payment

Payment is due at the point of sale unless we agree otherwise in writing.

Card payments must be made through a Jupiter-approved payment method. Cash may be accepted where the sale is recorded against a Jupiter order reference and an appropriate receipt/order record is created.

A sales representative must not direct payment to a personal account.

We may withhold programming, delivery or handover until payment has cleared.

8. Stock, fulfilment and delivery

Where stock is available and the sale is fulfilled in person, Jupiter may programme, test and hand over the cards during the visit.

Where stock is unavailable or later delivery is agreed, the order confirmation should state the expected fulfilment or delivery arrangement. Any delivery date or timeframe is an estimate unless we expressly agree in writing that it is guaranteed.

If we become aware of a material delay, we will tell the Customer and provide a revised estimate.

Risk in physical goods passes to the Customer on handover or delivery. Ownership passes once payment has cleared.

9. Jupiter-controlled redirects

Each supported Google Review Card is normally programmed with a Jupiter-controlled URL rather than a raw Google destination.

The redirect allows us to maintain or correct the destination without requiring the physical card to be replaced or reprogrammed.

The Customer authorises Jupiter to operate the redirect for the purpose of delivering the purchased functionality.

We may make technical changes to the redirect infrastructure provided they do not materially reduce the purchased functionality.

10. Ongoing link maintenance

For supported cards, ongoing link maintenance means Jupiter will use reasonable care to keep the Jupiter-controlled redirect pointing to the Customer’s agreed destination and can correct a broken or changed destination where reasonably possible.

“Ongoing” does not mean lifetime, perpetual or unconditional support.

Ongoing link maintenance does not include:

• rebuilding a third-party platform;

• restoring a Google Business Profile that has been suspended, removed or restricted;

• guaranteeing the availability or behaviour of Google or another third-party service;

• unlimited changes to the Customer’s chosen destination;

• bespoke development; or

• functionality outside the product/tier purchased.

Where a Customer requests a destination or configuration change outside the included support scope, we may quote a reasonable fee before carrying out the work.

11. Customer Action Layer and future upgrades

Because Jupiter controls the redirect, a deployed card may be technically capable of supporting additional Jupiter functionality without reprogramming the physical NFC card.

We will not convert a Customer’s purchased primary action into a materially different service without the Customer’s agreement where doing so would materially affect the purchased functionality.

Optional future features may include additional customer actions, a Customer Action Hub, referral attribution, analytics or other agreed functionality. Paid or recurring features will be subject to the applicable order and terms.

12. Growth and Pro referral credit

Where Growth or Pro includes Jupiter’s referral programme, eligible referrals may generate Jupiter account credit.

Unless an order states otherwise:

• the standard credit is £10 per qualifying completed referral;

• attribution must be recorded through Jupiter’s systems;

• a referral qualifies only when the referred business completes a genuine paid order and Jupiter treats that order as fulfilled;

• cancelled, refunded, fraudulent, duplicate or self-referred transactions do not qualify;

• credit has no cash value and cannot be withdrawn as cash;

• credit may be used against eligible future Jupiter purchases;

• credit belongs to the originating business account, not an individual employee or customer; and

• Jupiter may correct credits created by error, duplication, fraud or abuse.

We may change the referral programme for future referrals by giving reasonable notice. Credits already validly earned will not be removed solely because the programme later changes.

13. Faults and support

The Customer should contact Jupiter promptly if a card is faulty, incorrectly programmed or no longer reaches the intended destination.

We will first determine whether the issue relates to:

• the physical NFC product;

• programming/configuration;

• the Jupiter redirect;

• the selected destination;

• the user’s device/connectivity; or

• a third-party platform.

Where the product or Jupiter’s setup is genuinely faulty or does not conform to the order, we will provide an appropriate remedy in accordance with the contract and applicable law. Depending on the circumstances this may include reconfiguration, repair, replacement, reperformance, credit or refund.

Jupiter does not currently advertise a separate 12-month commercial warranty. Nothing in these Terms excludes obligations or remedies that cannot lawfully be excluded.

Damage caused after delivery by misuse, deliberate damage, unauthorised modification, unsuitable installation/placement or circumstances outside Jupiter’s reasonable control is not treated as a Jupiter product fault.

14. Returns, cancellations and change of mind

These Terms apply to business purchases and are not intended to provide consumer cancellation rights.

Because cards may be programmed/configured for a particular business, a business Customer does not have an automatic contractual right to return a correctly supplied product simply because it changes its mind, unless Jupiter expressly agrees otherwise.

This does not affect remedies for goods or services that are faulty, misdescribed or otherwise supplied in breach of contract.

If we agree a discretionary cancellation or return, we may deduct reasonable unrecoverable costs already incurred, provided we explain them to the Customer.

15. Customer responsibilities

The Customer must:

• provide accurate business/listing information;

• confirm that it has authority to use the destination supplied;

• use the product lawfully and consistently with applicable platform rules;

• keep its contact details reasonably current;

• tell us when it becomes aware that a managed destination is incorrect or no longer appropriate; and

• not tamper with, clone, misuse or deliberately circumvent Jupiter systems in a way that creates security, fraud or service risks.

16. Analytics

Jupiter may collect limited operational data necessary to run, secure and improve the redirect service, such as route requests, timestamps, technical events, account/order attribution and aggregate usage information.

Where information constitutes personal data, it will be handled in accordance with Jupiter’s Privacy Notice and applicable data-protection law.

Any materially expanded analytics, end-customer profiling or additional data collection will be introduced only with the appropriate privacy and contractual arrangements.

17. Intellectual property

Jupiter retains ownership of its software, redirect infrastructure, Sales Toolkit, systems, templates, underlying designs and other intellectual property unless expressly agreed otherwise.

The Customer owns its own names, logos, content and other materials supplied to Jupiter, or confirms that it has permission to use them.

The purchase of a physical card does not transfer ownership of Jupiter’s underlying software or platform.

18. Suspension and misuse

We may temporarily suspend a managed route where reasonably necessary to:

• address a security incident;

• prevent fraud or unlawful use;

• comply with law or a binding requirement;

• address serious platform-policy abuse; or

• protect Jupiter’s systems or other customers.

Where reasonably possible, we will contact the Customer and work to restore legitimate functionality promptly.

19. Ending managed support and offboarding

If a managed or recurring service later ends, Jupiter will not deliberately hold a Customer’s legitimate destination hostage.

Where technically and commercially reasonable, we will provide an appropriate offboarding route, such as maintaining a reasonable transition period, providing the destination information, or offering reprogramming/transfer assistance. Any charge for additional transfer or reprogramming work will be disclosed before the work is undertaken.

One-time card purchases do not create an obligation for Jupiter to provide every future platform feature indefinitely.

20. Liability

Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.

Subject to that, Jupiter will not be liable for indirect or consequential loss, or for loss of profit, revenue, business, goodwill or anticipated savings, to the extent such exclusion is reasonable and lawful in the circumstances.

Jupiter is not responsible for a failure caused solely by Google or another third-party service outside our reasonable control, but we remain responsible for Jupiter’s own obligations under the contract.

Subject to liabilities that cannot lawfully be limited, Jupiter’s aggregate liability arising from an order will normally be limited to the greater of:

(a) the amount paid by the Customer for the order giving rise to the claim; or

(b) £250.

This limitation is intended to allocate commercial risk for a low-value B2B product and applies only to the extent it is reasonable and enforceable under applicable law.

21. Events outside reasonable control

Neither party is responsible for delay or failure caused by circumstances genuinely outside its reasonable control, provided the affected party takes reasonable steps to reduce the effect and resumes performance when reasonably possible.

This does not excuse payment already due for products/services properly supplied.

22. Privacy

Jupiter processes personal data in accordance with its Privacy Notice.

The Customer should not provide personal data to Jupiter that is unnecessary for the product or service being supplied.

23. Changes to these Terms

The Terms applying to an order are the version made available when that order is placed.

We may update these Terms for future orders.

If a continuing managed or recurring service is later introduced, changes affecting that continuing service will be handled in accordance with the applicable service terms and any notice commitments made to the Customer.

24. General

If any provision is found unenforceable, the remaining provisions continue in effect.

A failure to enforce a right immediately does not waive that right.

No person other than Jupiter and the Customer has a right to enforce these Terms unless expressly stated otherwise.

25. Governing law and jurisdiction

These Terms and any non-contractual obligations arising from them are governed by the law of England and Wales.

The courts of England and Wales will have jurisdiction, subject to any mandatory rule that requires otherwise.
